Content Distribution Agreement
RINGLY TV PLATFORM
This Content Distribution Agreement ("Agreement") is entered into as of the date of acceptance by the Creator ("Effective Date"), between:
RING RING PRODUCTIONS LLC, a North Carolina limited liability company ("Platform"), and the Content Creator ("Creator").
1. GRANT OF RIGHTS
The Creator grants to the Platform a non-exclusive, worldwide, royalty-bearing license to:
- Host, stream, display, reproduce, and distribute the submitted content ("Content")
- Promote and market the Content within the Platform and external channels
- Create thumbnails, previews, and promotional excerpts
This license is granted for digital streaming purposes only.
2. OWNERSHIP
The Creator retains 100% ownership of the Content. Nothing in this Agreement transfers intellectual property ownership to the Platform.
3. REPRESENTATIONS & WARRANTIES
The Creator represents and warrants that:
- They are the sole owner or have full rights to distribute the Content
- The Content does not infringe copyrights, trademarks, or third-party rights
- All music, images, and media included are properly licensed or original
4. REVENUE SHARING
Revenue generated from the Content is distributed by source as follows:
- Sales (one-time digital purchase) — Creator 80% / Platform 20%
- Tips — Creator 90% / Platform 10%
- Ads (free-plan viewers) — Creator 60% / Platform 40%
- Subscriptions (pro-rata share based on viewing of your Content)
Payouts are automatic once a minimum threshold of USD 20 is reached.
5. CONTENT DELIVERY
The Creator agrees to provide:
- High-quality video, audio, or digital files
- Metadata (title, description, category, tags)
- Thumbnail or cover image
6. CONTENT REVIEW & REMOVAL
The Platform reserves the right to:
- Accept or reject any submitted Content
- Remove Content that violates policies or legal requirements
7. TERM & TERMINATION
This Agreement remains in effect until terminated by either party:
- Creator may request removal with 30 days written notice
- Platform may remove content immediately if legal issues arise
8. INDEMNIFICATION
The Creator agrees to indemnify and hold harmless the Platform from any claims, damages, or legal disputes arising from the Content.
9. LIMITATION OF LIABILITY
The Platform shall not be liable for indirect, incidental, or consequential damages.
10. GOVERNING LAW
This Agreement shall be governed by the laws of the State of North Carolina, United States.
11. ACCEPTANCE
By submitting content to Ringly TV, the Creator agrees to all terms of this Agreement. Electronic acceptance is fully valid under the U.S. ESIGN Act.
